1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (an individual or the entity you represent, "you" or "Customer") and Cyford Technologies LLC ("Company," "we," "us," or "our"), the operator of ZeroAI BOSS.

By accessing or using the ZeroAI BOSS platform ("Service"), you confirm that:

• You are at least 18 years old (or the age of majority in your jurisdiction)
• You have the legal authority to enter into this agreement on behalf of yourself or your organisation
• You agree to these Terms and our Privacy Policy

If you do not agree, do not use the Service.

2. Description of Service

ZeroAI BOSS is a cloud-based business management platform providing CRM, AI automation, project management, invoicing, and related tools ("Service"). We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Accounts & Registration

• You must provide accurate, current, and complete information during registration and keep it updated
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately at [email protected] if you suspect unauthorised access
• One person or legal entity may not maintain more than one free account without prior written consent
• Accounts are non-transferable unless expressly permitted by us in writing

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Transmit spam, unsolicited bulk email, or automated messages without recipient consent
• Upload, store, or distribute malware, viruses, or other malicious code
• Attempt to gain unauthorised access to the Service, other accounts, or our infrastructure
• Scrape, crawl, or extract data from the Service without express written permission
• Impersonate any person or entity
• Use the Service to store or process data in violation of applicable privacy laws (GDPR, CCPA, HIPAA, etc.)
• Reverse-engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Resell or sublicense access to the Service without written authorisation

We reserve the right to suspend or terminate accounts that violate this section without refund.

5. Payment & Billing

• Fees: Subscription fees are displayed on our pricing page and may change with 30 days' notice
• Billing cycle: Subscriptions are billed monthly or annually in advance, depending on your chosen plan
• Payment method: You authorise us to charge your payment method on file for all applicable fees
• Failed payments: If a payment fails, we will retry and notify you. Accounts with outstanding balances may be suspended after 7 days
• Taxes: You are responsible for all applicable taxes. Displayed prices exclude VAT/GST unless stated
• Refunds: Subscription fees are non-refundable except where required by law or at our sole discretion. If you cancel mid-billing-period, you retain access until the period ends
• Price changes: We will notify you at least 30 days before any price increase affecting your current plan

6. Free Trial

We may offer a free trial period for certain plans. During a trial:

• You may be required to provide payment details upfront; your card will not be charged until the trial ends
• At the end of the trial period, your subscription will automatically convert to a paid plan and your card will be charged at the applicable rate
• You may cancel at any time before the trial ends to avoid being charged — cancellation instructions are in your account under Billing
• We reserve the right to limit or discontinue trial offers at any time

7. Cancellation & Termination

By you: You may cancel your subscription at any time via the Billing section of your account or by contacting support. Cancellation takes effect at the end of the current billing period. Your data is retained for 90 days after cancellation, then permanently deleted unless you request earlier deletion.

By us: We may suspend or terminate your account immediately (without refund) if you:

• Violate these Terms or our Acceptable Use policy
• Fail to pay applicable fees after reasonable notice
• Engage in fraudulent, abusive, or illegal activity

We may also terminate the Service with 60 days' written notice for any other reason, in which case we will provide a pro-rated refund of prepaid fees.

8. Your Data & Content

• Ownership: You retain all rights to the data and content you upload or create in the Service ("Your Content")
• Licence to us: You grant us a limited, non-exclusive licence to store, process, and display Your Content solely as necessary to provide the Service
• No sale of data: We will never sell Your Content or your customers' data to third parties
• Export: You may export Your Content at any time in standard formats (CSV, JSON) via your account settings
• Responsibility: You are solely responsible for the accuracy and legality of Your Content and for obtaining necessary consents from third parties whose data you upload

9. Intellectual Property

The Service, including all software, designs, text, graphics, and branding, is owned by Cyford Technologies LLC and protected by copyright, trademark, and other laws. These Terms do not grant you any right to use our name, logos, or trademarks.

Feedback or suggestions you provide about the Service may be used by us without obligation to you.

10. Third-Party Integrations

The Service integrates with third-party services (Stripe, Mailgun, Google, Facebook, LinkedIn, etc.). Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or completely secure
• Results obtained from using the Service will be accurate or reliable

AI-generated content produced by the Service (via Kate or other AI features) is provided for informational purposes and may contain errors. Always verify AI outputs before acting on them.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CYFORD TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow limitation of implied warranties or liability for consequential damages, so the above limitations may not apply to you in full.

13. Indemnification

You agree to indemnify, defend, and hold harmless Cyford Technologies LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall first be subject to good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice via email or a prominent in-app notice before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
